Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Bidlyy governing your access to and use of bidlyy.com and related services (the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract to use Bidlyy. You are responsible for keeping your account credentials confidential and for all activity under your account. You must provide accurate information and update it as needed.

2. The Service

Bidlyy is an online marketplace where creators list items and experiences for auction and fans place bids. Bidlyy provides the platform; the contract for any winning auction is between the buyer and the creator. Bidlyy is not a party to that underlying transaction except as expressly stated in these Terms.

3. Bids are binding

Every bid you place is a binding offer to purchase the listed item on the terms shown on the listing at the time you bid. Once you place a bid, you may not retract it. If you are the winning bidder when the auction ends, you are obligated to complete the purchase.

Auction rules — including price, minimums, timing, and any listing-specific conditions — are governed by what is displayed on the listing at the moment of your bid. Bidlyy may change how auctions operate for future listings, but such changes do not alter the terms of an auction already in progress.

4. Payments and payouts

Payments are processed by our third-party payment processor. Funds from a winning bid may be held pending confirmation of delivery. Payouts to creators are made in accordance with the payment processor's agreement and applicable law. By using the Service, you also agree to the terms of the payment processor as they apply to your role (buyer or seller).

Applicable platform fees, processor fees, and taxes may be deducted from amounts collected or paid out. Specific fee schedules and timing are made available separately and may be updated from time to time.

5. Delivery and disputes

Creators must deliver each won item or experience within the timeframe shown on the listing. If delivery does not occur within that timeframe, the buyer may raise the matter through Bidlyy's dispute process, which determines whether funds are released, refunded, or otherwise handled. Bidlyy's decision on disputes is final for the purpose of the Service, without limiting any rights you may have under applicable law.

6. Content and license

You retain all rights to the content you upload — including listing media, avatars, messages, and attachments. By submitting content to Bidlyy, you grant Bidlyy a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute that content solely to operate, promote, and improve the Service. You represent that you have the rights necessary to grant this license and that your content does not infringe any third party's rights.

7. Prohibited conduct

You agree not to:

• List, sell, or bid on anything illegal, infringing, sexually explicit involving minors, or otherwise prohibited by our policies;
• Place bids you do not intend to honor, use another person's payment method without authorization, or otherwise engage in fraud;
• Manipulate auctions, including shill bidding, coordinating with other users to inflate prices, or using bots to place bids;
• Circumvent Bidlyy to complete a transaction off-platform after making contact through the Service;
• Harass, threaten, or abuse other users or Bidlyy staff;
• Attempt to access accounts, data, or systems you are not authorized to access, or interfere with the Service's operation.

8. Suspension and termination

Bidlyy may suspend or terminate your account, remove listings, cancel auctions, withhold payouts, or restrict access to the Service at its discretion, including for suspected violation of these Terms, suspected fraud, chargeback risk, or legal reasons. You may close your account at any time, subject to any obligations from open auctions or pending transactions.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Bidlyy does not warrant that listings are accurate, that creators will deliver, or that the Service will be uninterrupted or error-free. Nothing in these Terms excludes any liability that cannot be excluded under applicable law.

10. Limitation of liability

To the maximum extent permitted by law, Bidlyy and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or in connection with your use of the Service. Bidlyy's total liability for any claim arising from or relating to the Service will not exceed the greater of (a) the amounts you paid to Bidlyy in the six months before the claim, or (b) USD 100.

11. Indemnification

You will indemnify and hold harmless Bidlyy and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or the rights of any third party.

12. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Bidlyy is established, without regard to its conflict-of-laws principles. You and Bidlyy agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction to resolve any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights you have where you live.

13. Changes to the Terms

We may update these Terms from time to time. If changes are material, we will notify you by email or in-app notice. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of them.
